About Answrii

Answrii is an AI-powered FAQ helpdesk platform that allows businesses to create, publish, and manage multilingual FAQ pages. The Answrii Marketplace is a feature of this platform that enables verified businesses to be discovered and placed on published FAQ pages. Legal notices may be sent to legal@answrii.com.

In these terms and conditions, the following expressions have the following meanings:

• "Answrii" means the Answrii platform and its operators. Legal notices: legal@answrii.com.
• "Platform" means the Answrii software platform accessible at answrii.com and its associated applications.
• "Marketplace" means the business discovery and placement feature of the Platform.
• "Business Advertiser" or "you" means any business, company, sole trader, partnership, or individual who registers a Marketplace Business Profile on the Platform.
• "FAQ Owner" means a user of the Platform who has published a FAQ helpdesk page.
• "FAQ Page" means a publicly published FAQ helpdesk page on the Platform.
• "Business Profile" means the registered business listing submitted by a Business Advertiser for verification and placement on FAQ Pages.
• "Placement" means the display of a Business Profile on one or more surfaces of a FAQ Page.
• "Verified Business" means a Business Profile that has been reviewed and approved by Answrii.

By registering a Business Profile on the Answrii Marketplace, you confirm that:

• You have read, understood, and agree to be bound by these Marketplace Terms and Conditions in their entirety.
• You have the legal authority to enter into this agreement on behalf of the business you are registering.
• You agree to the Answrii general Terms of Service, which apply to all account holders and are incorporated into these terms by reference.
• You are at least 18 years of age.

If you do not agree to these terms, you must not register a Business Profile on the Answrii Marketplace.

The Answrii Marketplace is a feature of the Platform that allows Verified Businesses to be discovered by FAQ Owners and placed on published FAQ Pages. Once verified, your Business Profile may appear on FAQ Pages in one or more of the following surfaces, at the discretion of the FAQ Owner:

• Quick Action Pills -- high-visibility clickable buttons displayed prominently at the top of a FAQ Page, providing direct links to your business.
• Recommended Resources -- a curated section in the right panel of a FAQ Page listing relevant businesses, helpdesks, and resources.
• Explore Nearby -- a location-based section of a FAQ Page showing businesses and services relevant to the geographic area of the page.

Answrii facilitates the matching, verification, and placement process. Answrii does not guarantee that your Business Profile will be placed on any specific FAQ Page, or any FAQ Page at all. Placement decisions rest entirely with individual FAQ Owners.

To register a Business Profile on the Answrii Marketplace, you must:

• Create a free Answrii account using a valid email address.
• Submit a complete and accurate Business Profile including business name, category, location, website, and description.
• Accept these Marketplace Terms and Conditions.
• Pass Answrii's verification review.

Answrii reserves the right to approve, reject, or revoke verification of any Business Profile at its sole discretion, at any time, and without obligation to provide reasons. Verification confirms only that Answrii has reviewed the submitted information and does not constitute an endorsement of the business, its products, or its services.

You are solely responsible for the accuracy and completeness of your Business Profile at all times. You must promptly update your profile if any information changes, including but not limited to your business name, category, address, website URL, or operational status.

You must not register a business that you do not own or operate, or for which you do not have the legal authority to act as representative.

The following types of business are not permitted to register on the Answrii Marketplace:

• Businesses offering adult content, escort services, or services of a sexually explicit nature.
• Online gambling, betting, or games of chance platforms not operating under a valid government licence.
• Retailers or services involving firearms, ammunition, explosives, or prohibited weapons.
• Businesses offering unregulated financial products, unlicensed lending, Ponzi schemes, or pyramid structures.
• Cryptocurrency exchanges or token sale platforms that are not registered with the appropriate regulatory authority.
• Multi-level marketing organisations where income is primarily derived from recruitment rather than product sales.
• Businesses that promote hatred, discrimination, violence, or illegal activity on the basis of religion, caste, gender, race, nationality, or any other protected characteristic.
• Businesses subject to active regulatory sanctions, prohibitions, or court orders that restrict their operations.
• Businesses whose primary purpose is spam, phishing, data harvesting, or any form of fraud or deception.
• Any business that violates applicable Indian law, including but not limited to the Information Technology Act 2000, Consumer Protection Act 2019, or relevant sector-specific regulations.

Answrii may update this prohibited list at any time. Existing Verified Businesses that fall within a newly prohibited category will be notified by email and given 14 calendar days to respond before their profile is suspended or removed.

Placements on FAQ Pages are subject to the following limits per FAQ Page, set by Answrii and subject to change with notice:

• Quick Action Pills: maximum 10 placements per FAQ Page across all sources combined.
• Recommended Resources: maximum 8 placements per FAQ Page across all sources combined.
• Explore Nearby: maximum 10 placements per FAQ Page, tracked separately from the above limits.

FAQ Owners have full editorial control over whether your business appears on their page and on which surfaces. FAQ Owners may add, pause, or remove your business from their pages at any time without notice to you.

You must not approach FAQ Owners directly, outside of the Answrii Platform, to negotiate, request, or offer incentives for placements. All placement activity must go through the Answrii Marketplace interface. Violation of this rule may result in immediate suspension of your Business Profile.

At the current stage of the Answrii Marketplace, registration and placement are available at no charge. Commercial campaign features involving cost-per-click billing are planned for a future release and are not yet active.

When commercial campaigns become available, the following default revenue sharing model will apply to validated clicks on business placements:

• FAQ Page Owner: 50% of the validated click revenue
• Answrii: 50% of the validated click revenue

These percentages are subject to change. Answrii will provide not less than 30 calendar days advance notice of any change to the default revenue sharing model by email to registered business accounts. If you do not accept the new terms, you may close your account before the effective date.

Billing will occur only on validated clicks. Answrii defines a validated click as a unique click from a non-automated source that results in a verifiable visit to the linked URL. Self-clicks, bot traffic, and click fraud are excluded. Answrii's determination of valid and invalid clicks is final.

All amounts will be expressed and billed in Indian Rupees (INR) for Indian businesses, or the applicable currency for international businesses, as determined by Answrii.

Answrii is committed to transparency for visitors of FAQ Pages. Commercial placements funded through paid campaigns will be clearly labelled on FAQ Pages using one or more of the following disclosures: "Sponsored", "Partner", "Ad", or "Affiliate".

Answrii applies these labels automatically. You may not request, instruct, or incentivise any party to suppress or remove these labels. Placements that are misleading about their commercial nature are in breach of these terms and the Advertising Standards Council of India (ASCI) guidelines, and will be removed immediately.

At the current stage, where placements are not commercially funded, no sponsored label is applied. Labels will be applied automatically when commercial campaigns are activated.

By registering on the Answrii Marketplace, you agree to:

• Maintain an accurate, complete, and up-to-date Business Profile at all times.
• Ensure that your website, products, services, and all linked content comply with applicable Indian laws and regulations, including the Consumer Protection Act 2019, the IT Act 2000, and all sector-specific regulations applicable to your industry.
• Not engage in click fraud, automated clicking, or any other form of manipulation of Answrii analytics, traffic data, or billing systems.
• Not use the Answrii Platform or placement surfaces to collect personal data from visitors beyond what is necessary and permitted for your legitimate business operations.
• Comply with the Digital Personal Data Protection Act 2023 (India) and all applicable data protection and privacy obligations.
• Not use the Answrii Platform to distribute malware, phishing content, or any harmful or illegal content.
• Notify Answrii promptly if your business ceases trading, changes its legal status, becomes subject to regulatory action, or any material change occurs that affects the accuracy of your Business Profile.
• Not make any claim that your business is endorsed, certified, or recommended by Answrii unless Answrii has provided written permission to do so.

By uploading a logo, business name, description, images, or any other content to your Business Profile ("Business Content"), you grant Answrii a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute that Business Content on the Answrii Platform and on Answrii-powered FAQ Pages solely for the purposes of operating the Marketplace.

You retain ownership of all intellectual property rights in your Business Content. Answrii's licence to your Business Content ends when your Business Profile is removed or your account is closed.

You warrant that you own or have the right to use all Business Content you upload, and that its use by Answrii in accordance with these terms does not infringe the intellectual property rights of any third party. You indemnify Answrii against any claims, costs, or damages arising from a breach of this warranty.

Answrii's trademarks, brand name, logo, and platform design are the exclusive intellectual property of Answrii. You may not use any of these without prior written permission from Answrii.

Answrii may suspend or permanently remove a Business Profile with or without prior notice if:

• The profile contains false, misleading, or materially inaccurate information.
• The business operates in a category prohibited under Section 5 of these terms.
• Fraudulent click activity or abuse of the Platform is detected.
• The business receives sustained or serious complaints from FAQ Owners or visitors.
• The business violates any applicable Indian law or regulation.
• Payment obligations under active commercial campaigns are not met within the specified timeframe.
• These terms are otherwise breached in a material way.

Where circumstances permit, Answrii will provide 7 calendar days written notice before suspension. In cases of fraud, legal violation, or serious breach, immediate removal may occur without notice and without refund of any campaign funds held.

You may close your Business Profile at any time by contacting Answrii at hello@answrii.com. Active campaign commitments remain payable upon closure.

Answrii provides the Marketplace as a platform service on an "as is" and "as available" basis. Answrii does not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities.

Answrii is not responsible for:

• The content, quality, legality, or safety of any product or service offered by a Business Advertiser.
• Any dispute between a Business Advertiser and a visitor or customer arising from a placement.
• Any loss of data, revenue, or opportunity arising from the suspension or removal of a Business Profile.
• The decisions of FAQ Owners regarding placement or removal of a business from their pages.

To the fullest extent permitted under the Information Technology Act 2000 and applicable Indian law, Answrii's total aggregate liability to any Business Advertiser shall not exceed the total fees paid by that Business Advertiser to Answrii in the three calendar months immediately preceding the event giving rise to the claim.

In no event shall Answrii be liable for any indirect, consequential, special, or punitive damages, or for any loss of profit, goodwill, or business opportunity, even if Answrii has been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless Answrii, its directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Answrii Marketplace.
• Your Business Profile content or any content linked from it.
• Your breach of these terms.
• Your violation of any applicable law or the rights of any third party.

Answrii collects and processes personal data in accordance with its Privacy Policy, available at answrii.com/privacy. By registering on the Marketplace, you acknowledge and accept Answrii's Privacy Policy.

As a Business Advertiser, you are an independent data controller for any personal data you collect from visitors who interact with your business through FAQ Page placements. You are solely responsible for compliance with the Digital Personal Data Protection Act 2023 (India) and any other applicable data protection laws in relation to that data.

You must maintain an accessible and accurate privacy policy on your website that covers your data collection practices.

Answrii may revise these Marketplace Terms and Conditions from time to time. The most current version will always be published at answrii.com/marketplace-terms with the date of last revision clearly displayed.

For material changes, Answrii will provide at least 14 calendar days advance notice by email to registered business account holders. Your continued use of the Marketplace after the effective date of revised terms constitutes your acceptance of those terms.

If you do not accept the revised terms, you must discontinue use of the Marketplace and notify Answrii at hello@answrii.com before the effective date.

In accordance with the Information Technology Act 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, Answrii has designated a Grievance Officer for addressing complaints and concerns related to the Platform.

Complaints will be acknowledged within 24 hours and resolved within 15 days of receipt, in accordance with applicable Indian law.

These Marketplace Terms and Conditions are governed by and construed in accordance with the laws of the Republic of India. The courts at Delhi shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms, including any non-contractual disputes or claims.

If you are a business operating outside India, you expressly agree that any dispute arising from your use of the Answrii Marketplace will be governed by Indian law and resolved in the courts of Delhi, regardless of your country of registration or operation.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute amicably by written notice to the other party. If the dispute is not resolved within 30 days of such notice, either party may proceed to formal legal proceedings.

Entire Agreement: These terms, together with the Answrii general Terms of Service and Privacy Policy, constitute the entire agreement between you and Answrii with respect to your use of the Marketplace and supersede all prior agreements and understandings.

Severability: If any provision of these terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remaining terms, which shall continue in full force and effect.

No Waiver: Answrii's failure to enforce any right or provision in these terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights or obligations under these terms without Answrii's prior written consent. Answrii may assign these terms without restriction.

Force Majeure: Answrii shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, government action, internet outages, or third-party service failures.
